01Acceptance of terms

By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Platform. If you use the Platform on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

02Definitions

• "User" means any person who accesses the Platform, including producers, buyers, and their authorised personnel.
• "Producer" means a farmer or farmer organisation that registers farms, commodities, or related records.
• "Buyer" means a party sourcing ingredient lots through the Platform.
• "User Content" means data, text, images, documents, and other materials you submit to the Platform.
• "Transaction" means any quotation, sample request, purchase order, or procurement activity arranged through the Platform.

03Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Platform. Access is intended for business and professional use. We may require verification of your identity, organisation, farm, or certifications before granting or continuing access.

04The Platform

lyncc provides a platform to digitise the procurement of sustainable agricultural commodities. Depending on your role, the Platform lets you register farms, commodities, certifications and records; discover verified ingredient lots; request quotations and samples; manage purchase orders and logistics; and access traceability, compliance, quality, document-management, analytics, and collaboration tools.

We may add, change, or remove features at any time. We may also build and operate custom supply chains; where lyncc acts as a counterparty or service provider in a Transaction, the specific commercial terms will be set out separately in an order, contract, or statement of work.

05Accounts & security

• You must provide accurate, current, and complete information and keep it up to date.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• You must notify us promptly at support@lyncc.io of any unauthorised use or security breach.
• You are responsible for the actions of authorised personnel you add to your organisation's account.

06Your content & data

You retain ownership of your User Content. You grant lyncc a worldwide, non-exclusive, royalty-free licence to host, store, process, display, and use your User Content as necessary to operate and improve the Platform and to carry out Transactions you are part of.

You are responsible for the accuracy, legality, and quality of the User Content you submit — including farm, commodity, certification, and traceability data — and you represent that you have the rights needed to submit it. We may remove content that violates these Terms or applicable law.

07Acceptable use

You agree not to:

• submit false, misleading, or fraudulent information, including about origin, quality, or certification;
• use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
• infringe the intellectual-property, privacy, or other rights of any party;
• upload malware, attempt to gain unauthorised access, or interfere with the Platform's operation or security;
• scrape, copy, or harvest data except as expressly permitted; or
• resell, sublicense, or misuse access to the Platform.

08Procurement & transactions

The Platform facilitates procurement of agricultural commodities. Unless we expressly act as the counterparty in writing, lyncc is not a party to contracts formed directly between Producers and Buyers, and is not responsible for their performance. Where lyncc builds or operates a supply chain or supplies commodities itself, the applicable scope, pricing, quality specifications, and obligations will be governed by the relevant order, contract, or statement of work, which prevails over these Terms to the extent of any conflict for that Transaction.

Samples, quotations, estimates, forecasts, and analytics provided through the Platform are for reference and do not constitute a binding offer or a guarantee of outcome unless confirmed in a binding order.

09Fees & payments

Fees for the Platform or for Transactions, where applicable, will be communicated to you. Payments may be processed through third-party payment processors (such as Stripe or Razorpay), and you agree to their terms for that processing. Unless stated otherwise, fees are exclusive of taxes, which are your responsibility. Refunds and cancellations are governed by our Refund & Cancellation Policy and any applicable order or contract.

10Intellectual property

The Platform, including its software, design, text, graphics, and the lyncc name and logo, is owned by or licensed to Lyncc Technologies Pvt. Ltd. and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose. No other rights are granted, and you may not copy, modify, distribute, or create derivative works except as permitted by law or with our written consent.

11Third-party services

The Platform integrates third-party services, including cloud hosting, Google/Firebase, and payment processors. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services we do not control.

12Confidentiality

You may receive non-public information through the Platform — including pricing, sourcing, and counterparty data. You agree to keep such information confidential, use it only for the purpose of the relevant Transaction or your permitted use of the Platform, and not disclose it except as required by law.

13Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that data, forecasts, or analytics will be accurate or complete. Any reliance is at your own risk.

14Limitation of liability

To the maximum extent permitted by law, lyncc and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from or related to your use of the Platform. Our total aggregate liability for any claim arising out of or relating to these Terms or the Platform will not exceed the greater of the fees you paid to lyncc for the Platform in the three months before the claim, or INR 10,000. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15Indemnification

You agree to indemnify and hold harmless lyncc and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, your User Content, your Transactions, or your breach of these Terms or applicable law.

16Suspension & termination

You may stop using the Platform and delete your account at any time via the app or our Account Deletion page. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or for operational or legal reasons. On termination, the licences granted to you end; provisions that by their nature should survive — including ownership, confidentiality, disclaimers, liability limits, and dispute resolution — will continue.

17Compliance with laws

You agree to comply with all laws applicable to your use of the Platform and your Transactions, including trade, export, sanctions, anti-bribery, anti-corruption, food-safety, and certification requirements. You represent that you and your organisation are not subject to sanctions that would prohibit use of the Platform.

18Changes to these terms

We may update these Terms from time to time. When changes are material, we will update the "Last updated" date and, where appropriate, notify you through the Platform. Your continued use after the changes take effect constitutes acceptance.

19Governing law & disputes

For users in India and elsewhere outside the United States, these Terms are governed by the laws of India, and the courts at Hyderabad, Telangana have exclusive jurisdiction, subject to any agreement to resolve disputes by arbitration seated in Hyderabad under the Arbitration and Conciliation Act, 1996.

For users located in the United States, these Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules, and the state and federal courts located in California will have jurisdiction, unless the parties agree to arbitration.

Nothing in this section deprives you of any mandatory consumer-protection rights available under the law of your place of residence.

20General

• Entire agreement — these Terms, the Privacy Policy, and any applicable order or contract are the entire agreement between you and lyncc.
• Severability — if any provision is found unenforceable, the remaining provisions stay in effect.
• No waiver — our failure to enforce a right is not a waiver of it.
• Assignment — you may not assign these Terms without our consent; we may assign them in connection with a reorganisation or sale.
• Force majeure — we are not liable for delays or failures caused by events beyond our reasonable control.
• Notices — we may provide notices through the Platform or by email; you may contact us as set out below.
